Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you (or the organisation you represent) and OpsVeritas regarding your access to and use of the automation monitoring platform at app.opsveritas.com. By creating an account or using the service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the service.

1. Eligibility and account

  • Age and authority: you must be at least 18 years of age, or have the legal authority to bind your organisation to these Terms. If you are using OpsVeritas on behalf of a company or other legal entity, you represent that you have the authority to do so.
  • Account security: you are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised access.
  • Accurate information: you agree to provide accurate, current, and complete information when creating your account and to keep it up to date at all times.
  • One free account per entity: a single person or legal entity may not register more than one Free plan account. Attempts to circumvent this restriction will result in termination of all associated accounts.

2. Acceptable use

You may use OpsVeritas only for lawful purposes and strictly in accordance with these Terms. The following activities are expressly prohibited:

  • Unauthorised monitoring: connecting or attempting to monitor automation systems, workflows, pipelines, or infrastructure that you do not own or for which you do not have explicit written permission from the owner.
  • Reverse engineering: decompiling, disassembling, or otherwise attempting to derive the source code, algorithms, or proprietary methods underlying the OpsVeritas platform.
  • Resale or sublicensing: reselling, sublicensing, white-labelling, or otherwise providing access to OpsVeritas to third parties without prior written consent from OpsVeritas.
  • Harmful or illegal use: using the service to transmit malware, conduct denial-of-service attacks, engage in fraud, violate data protection laws, or otherwise break any applicable regulation or statute.
  • Circumventing controls: attempting to bypass authentication, rate limits, access controls, or any other technical or administrative safeguard implemented by OpsVeritas.

3. Subscriptions and payment

  • Billing: paid subscriptions are billed in advance on a monthly or annual basis, as selected at the time of purchase, through Paddle — our authorised reseller and merchant of record. All fees are stated in US dollars unless otherwise indicated at checkout.
  • Non-refundable: all fees are non-refundable except where expressly required by applicable consumer protection law or as stated at the point of purchase. Partial-period credits are not issued upon cancellation.
  • Failed payments: if a payment fails, we will make reasonable attempts to notify you by email before suspending access to paid features. Access may be suspended after 14 days of non-payment without further notice.
  • Price changes: we reserve the right to change subscription prices with at least 30 days' written notice. Your continued use of the service following the effective date of a price change constitutes acceptance of the new pricing.
  • Taxes: all fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies applicable in your jurisdiction.

4. Service availability and support

OpsVeritas targets 99.5% monthly uptime for its core monitoring and alerting functions but does not guarantee uninterrupted, error-free service. Planned maintenance windows will be communicated via email at least 48 hours in advance where reasonably practicable. Unplanned outages will be communicated via our status page. OpsVeritas is not liable for losses arising from service interruptions, delays in alert delivery, or inaccuracies in data sourced from third-party automation platforms, including but not limited to Make, n8n, GitHub, AWS, and Zapier.

5. Your data and licence

  • Ownership: you retain full ownership of all workflow data, integration credentials, configurations, and any other content you provide to OpsVeritas ("Customer Data").
  • Licence to us: you grant OpsVeritas a limited, non-exclusive, worldwide, royalty-free licence to access, process, store, and display your Customer Data solely as necessary to provide the service and fulfil our obligations under these Terms.
  • No commercial use: we will not sell, share, or use your Customer Data for any purpose beyond operating and improving OpsVeritas without your prior written consent.
  • Data portability: upon request, we will provide you with a structured export of your Customer Data. Following account termination, data will be retained for 90 days before permanent deletion.

6. Intellectual property

  • OpsVeritas IP: all intellectual property rights in the OpsVeritas platform — including its software, interfaces, documentation, trademarks, and trade secrets — are and shall remain the exclusive property of OpsVeritas and its licensors.
  • Restricted licence: subject to your compliance with these Terms, OpsVeritas grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for its intended purpose during your subscription term.
  • Feedback: if you submit feedback, suggestions, or ideas regarding the service, you grant OpsVeritas an irrevocable, royalty-free, worldwide licence to use, modify, and incorporate such feedback into the platform without any obligation to you.

7. Confidentiality

Each party agrees to hold the other's confidential information in strict confidence and to use it only to the extent necessary to perform its obligations under these Terms. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, was independently developed without reference to confidential information, or is required to be disclosed by law or court order (provided that prompt notice is given where legally permissible).

8. Limitation of liability

To the maximum extent permitted by applicable law, OpsVeritas's total aggregate liability to you arising out of or in connection with these Terms — whether in contract, tort (including negligence), or otherwise — shall not exceed the total fees paid by you to OpsVeritas in the twelve (12) calendar months immediately preceding the event giving rise to the claim.

In no event shall OpsVeritas, its officers, directors, employees, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, loss of revenue, loss of data, loss of goodwill, or cost of procurement of substitute services, even if OpsVeritas has been advised of the possibility of such damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless OpsVeritas and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the service in violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your infringement of any third-party intellectual property or other rights.

10. Termination

  • By you: you may cancel your subscription at any time from your account Settings. Cancellation takes effect at the end of the current billing period; no pro-rata refund is issued for the unused portion of the period.
  • By OpsVeritas: we may suspend or terminate your access to the service immediately and without prior notice in the event of a material breach of these Terms, confirmed non-payment, conduct that poses a security risk to the platform or other users, or as required by law.
  • Effect of termination: upon termination, your licence to use the service ceases immediately. Clauses 5, 6, 7, 8, 9, and 11 shall survive termination of these Terms.

11. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your country of residence requires otherwise.

Before initiating formal proceedings, each party agrees to attempt to resolve any dispute by good-faith negotiation for a period of at least 30 days following written notice of the dispute.

12. General provisions

  • Entire agreement: these Terms, together with our Privacy Policy, constitute the entire agreement between you and OpsVeritas with respect to the service and supersede all prior or contemporaneous agreements, representations, and understandings.
  • Severability: if any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
  • Waiver: failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
  • Assignment: you may not assign or transfer any rights or obligations under these Terms without our prior written consent. OpsVeritas may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.

13. Changes to these Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' written notice of any material changes via email before they take effect. The "Last updated" date at the top of this page reflects the most recent revision. If you do not agree to the revised Terms, you must cancel your subscription before the effective date. Continued use of OpsVeritas after the effective date constitutes acceptance of the revised Terms.
